1. Organizer. Aims
IIMA Consultora SL (hereinafter, the “Organizer”), launches, through the adtriboo website (www.adtriboo.com, hereinafter the “Website”) "BlacktoGreen" identidad de marca (hereinafter, the “Project”).

2. Participation requirements
Corporations, and private individuals aged 18 or over, may participate in this Project.
Employees of the Organizer or of adtriboo may not participate in this Project. This ban extends to the first-degree ascendants or descendants of the said persons, and their spouses and common-law spouses.
Participation in this Project is free of charge. However, all participants must be registered users or must register on the Website.
Each participant may submit an unlimited number of works.
The material submitted must not include, under any circumstances, content of an unlawful, xenophobic, racist, violent, or pornographic nature, and must not constitute an infringement of any third-party rights. The material submitted must include a complete list of the authors who have participated in the proposal.
Participants must comply with all of the specifications set forth above prior to submitting any materials of any kind amounting to their participation in the Project.
Any failure to comply with one or more of the said specifications shall result in the proposal submitted by that participant being deemed to be void, and as such adtriboo and/or the Organizer shall be entitled to prevent it from participating or to disqualify (expel) it from the Project, as soon as this situation is detected. Where a participation is deemed to be void, it shall not take part in the Project, and neither adtriboo nor the Organizer shall be under any duty to notify this decision formally.
3. Duration of the Project
The Project shall commence on 06 June, 2012 14:21 , and shall end on 18 June, 2012 00:00
Participants must submit their proposals through the “Participate” tab within the said time limit. Any participations submitted outside of the defined time limit shall not be deemed to be valid for the Project..
Once the time limit for the submission of proposals has expired, a jury designated by the Organizer shall select the best proposal, based on its quality, creativity, and originality. The Organizer shall have unfettered discretion to set the number of people who are to sit on the jury, to appoint its members, and to decide whether or not it is to be public. The jury may decide not to make any award in the Project if it considers that none of the proposals submitted fulfils the technical or artistic requirements necessary in order to win, and such an outcome is expressly accepted by the participants. The award by the jury may not be appealed.
4. How to participate
In order to participate in the Project, participants must:
1) Register on the Website, if they are not already registered.
2) Register as a participant in this Project, which entails:
a. Accepting these rules governing participation in the Project.
b. Accepting the applicable terms & conditions for professionals participating in competitions on the Website.
3) Submitting the material with which they participate. This is governed by the instructions set forth in the “Participate” section.
The Organizer may require participants to provide documentary proof that they are in possession of the intellectual property rights necessary for the exploitation of the material included in their proposal, in the event that the list of authors submitted with the material includes persons other than the participant.
The documentary proof referred to in the above paragraph shall be an essential requirement for any participant to be able to win the Project, and participants may be disqualified and lose their entitlement to receive the remuneration if the said proof cannot be provided.
5. Remuneration
The Project winner shall be remunerated with:
- Remuneration #1: 300 €
No alternative prizes, assignments, or transfers of the remuneration to third parties shall be allowed, and the remuneration shall be deemed to be personal and non-transferable. The remuneration shall be paid exclusively to the person who has submitted the proposal and is on record as being the participant, and this person shall be deemed to be the winner for all pertinent effects.
The winner shall be liable for any taxes payable on the remuneration, where appropriate.
In the event the remuneration is paid in cash, any tax withholdings required by law shall be applied, in accordance with the tax residence of the winner, and this is expressly accepted by all participants.
6. Use of the materials acquired for promotional purposes. Rights of the Organizer over the winning project.
adtriboo and the Organizer, indistinctly, may use the proposals participating in the Project for the promotion and dissemination of the Project and/or other similar competitions and/or adtriboo’s activities, without any temporal or territorial restrictions, through digital media (for the purpose of example and not limitation, on the Website, on other adtriboo websites, on the Organizer’s website, on social networks linked to the Project, and in general, on other websites, blogs, chats, social networks, and/or any other medium that allows them to be distributed on digital media), and participants are deemed to have expressly accepted this by the mere fact of their participation.
The receipt of remuneration by one of the proposals entails the assignment, by the winner, of all rights of exploitation over intellectual property linked to the said proposal in favour of the Organizer, so that the said Organizer may exploit them as it thinks fit. The said assignment includes each and every one of the materials included within the said proposal.
The said assignment includes the rights of reproduction, distribution, public communication, distribution, and transformation of the proposal presented and of each and every one of the materials included in the said proposal, on an exclusive basis, throughout the whole world, and for the entire protection term laid down by current legislation and up until such time as the material comes into the public domain in each one of the territories, including the possibility of assignment to third parties, whether in whole or in part, as well as any other form of complete or partial usage of the said material, all of which in any format and/or exploitation medium, including in particular the right to fixation, reproduction, and public communication of the contents by way of mobile telephony, the internet, ADSL, and/or any other digital media, including but not limited to digital cinema theatres, digital terrestrial television, digital cable television, digital satellite television, IP television, on-demand television, interactive television, pay-per-view, and similar services, whether free-of-charge or for payment, whether with conditional or unconditional access.
The said rights furthermore include the right to transmit/broadcast the contents included in the said materials, in whole or in part, and for an unlimited number of times on the said media, allowing them to be edited for the purpose of synchronizing with advertising contents or in order to remove contents that are unsuitable for the environment in which they are to be broadcast in accordance with current legislation or the opinion of the broadcaster.
7. Image Rights
adtriboo may post photographs of the participants on the Website, and the participants consent to this by the mere fact of participating in the Project.
adtriboo and the Organizer may also use include and exploit the image of the participants in other formats for promotional purposes for the Project or for other similar competitions or for adtriboo’s activities, through any distribution medium considered appropriate.
The consent described in this section shall extend in perpetuity in respect of any exploitation which is carried out in connection with this Project and extends by virtue of its very nature beyond the conclusion of this Project.
8. Liability
adtriboo and the Organizer reserve the right to disqualify any person who tampers with the Project procedures and/or who breaches these rules or who infringes the terms & conditions applicable to professionals participating in competitions within the Website.
Participants shall not
(a) Submit any content that is unlawful, or that prejudices, threatens, abuses, attacks, degrades, libels, slanders, or invades the privacy of anyone else, or that is in any other way contrary to law, morality, and/or good practice;
(b) Submit any content over which they do not possess the necessary exploitation rights, whether by legal imperative or as a result of a contractual relationship (such as the disclosure of privileged information, personal or confidential information known or revealed as part of an employment relationship or under confidentiality agreements, or works of their own authorship but for which they have assigned the rights to third parties);
(c) Introduce, publish, copy, profit from, and/or submit any contents that infringe any royalties, patents, registered trade marks, commercial secrets, industrial designs, or any other industrial or intellectual property rights or any other third-party rights;
(d) Infringe any applicable law.
adtriboo and the Organizer may delete any content that entails or implies an objection to, breach, and/or infringement of the provisions of this clause.
Likewise, participants acknowledge and agree that adtriboo and the Organizer may keep the contents and may disclose them in accordance with a statutory duty and/or an order made by a competent authority should they be requested to do so or where this should be reasonably necessary in order to: (i) comply with legal proceedings, whether administrative or judicial; (ii) answer claims involving contents that infringe third-party rights, or (iii) protect the rights, property, or security of adtriboo, the Organizer, subsidiaries, affiliates, their users, and the general public.
Neither adtriboo nor the Organizer shall be liable, whether jointly or severally, for any error in the submission of the materials, provided that this has been caused by circumstances beyond their control or by the negligence of the participant. Neither adtriboo nor the Organizer shall be liable for any transmissions that are incomplete, received late, lost, void, sent to the wrong address, or muddled, for whatever reason, such as technical errors, including, but not limited to the electronic malfunction of any network, hardware, or software; human error, technical error, or any other kind of error that may occur when processing the participations.
9. Personal data protection
Any personal data supplied by participants shall be stored in a file that is the responsibility of ADTRIBOO, S.L., with its registered office at Doctor Castelo 10 5º B, Madrid (28009), duly recorded before the Spanish Data Protection Agency, for the purpose of identifying them as participants in the competitions organized through the Website, managing their participation in the specific Project in which they are interested (including notifying them of any incidents or that they have won, sending communications on behalf of the Organizer, seeking documentary proof of rights, inter alia), as well as for carrying out advertising or promotional activities in relation to the competitions organized through the Website and keeping them informed about other in-house or third-party products or services similar to those provided by adtriboo, which may be sent via e-mail or via any other similar electronic-communications system, also including commercial information relating to products and services by companies dedicated to the music, television, cinema, radio, communications, internet, training and education, hotel, financial, distribution, sports, travel, insurance, NGO, publishing, automotive, recruitment, real-estate, meteorology, tele-sales, energy, textile, health, leisure, administration, electronic, and telecommunications sectors.

You may change your profile and your preferences for commercial mailing, and exercise your rights to view, correct, delete, or challenge at any time by sending a letter by post to ADTRIBOO, S.L. with its registered office at Doctor Castelo 10 5º B, Madrid (28009), stating “DERECHOS LOPD” on the envelope, with a photocopy of your ID (DNI) Card or equivalent document stating your application.
10. Acceptance of these rules
Acceptance of each and every one of the terms & conditions set forth in this document is a necessary and essential condition for the purpose of participating in the Project.
Adtriboo and the Organizer reserve the right to amend the provisions of these rules, without altering the spirit of the Project, should this become imperative.
The participant, adtriboo, and the Organizer hereby agree that this Project and its rules shall be governed by and interpreted in accordance with Spanish law, and, in express waiver of the protection of any other jurisdiction they may be entitled to, they hereby agree that any dispute that may arise in respect of the interpretation and application of the said rules shall be resolved by the Courts and Appeal Courts of the city of Madrid.

Projects with an NDA are private and confidential.
For these projects, creative professionals must first agree to our privacy conditions prior to participating. Once they have agreed to these conditions, their candidacy for participating is automatically sent to the client who will then accept or reject requests from professionals who wish to access the project. Once accepted, participants will have access to the briefing and can then submit their creative proposals.
